Terms of Service — Patron: Round Up Donations

These Terms of Service (“Terms”) are a binding contract betweenCo Curator LLC (“Provider,” “we,” “us,” or “our”) and the installing Shopify merchant (“Merchant,” “you,” or “your”) governing your use ofPatron: Round Up Donations (the “App”).

By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

 


 

1) Relationship with Shopify; Platform Rules

You understand the App is distributed for use with Shopify and its POS. Your use of Shopify and the App is additionally governed by Shopify’s applicable terms and policies, including (without limitation):Shopify Platform Terms,API License and Terms,Partner Program Agreement,Acceptable Use Policy, andApp Review Requirements. If any Shopify rule conflicts with these Terms, the Shopify rule controls solely for your use of Shopify.

 


 

2) Description of Service & How It Works

The App enables you to offerround‑up andcustom donations atShopify POS. The POS hometile opens amodal where staff can add a donation line item (as a product variant) to the current cart. The App uses Shopify POS UI Extensions (2025‑10) for the tile and modal targets.

  • Tile → Modal:pos.home.tile.render opens the donation modal; the tile triggersshopify.action.presentModal().

  • Add to cart: The modal obtains a session token, determines the required cent‑level variant, and callsshopify.cart.addLineItem(...) to add the donation item (round‑up amount or custom amount) to the POS cart.

  • Donation product: During setup, the App creates aDonation product with100 variants (US$0.01–US$1.00) so any round‑up amount can be represented as a single variant line item.

  • Admin experience: The embedded admin shows product setup/overview and links to manage the donation product in Shopify.

  • POS UI Extensions context: These elements render natively in POS via Shopify’s POS UI Extensions framework.

Important funding flow: The Appdoes not collect, process, transmit, hold, or direct any donation funds. Donations are added to the cart like any other product line item; funds settle through your store’s existing Shopify checkout/payment processor into your merchant account.You receive the money and are solely responsible for remitting it to the organization(s) you designate.

 


 

3) Pricing and Payment

3.1 Subscription Fee. The App isUS$19.99/month, billed by Shopify through your Shopify account; fees arenon‑refundable unless required by law. (If you enable taxes on digital services in your jurisdiction, applicable taxes may be added.)

3.2 Beta Pricing Notice. The App is in testing/optimization; current pricing may be reduced as infrastructure costs are validated. We may, in our discretion, lower fees for all or some Merchants in future versions. (Any pricing change for existing subscribers will be noticed per §16.)

3.3 Billing. Shopify processes payment under Shopify’s billing system; you may cancel anytime fromSettings → Apps and sales channels in Shopify Admin.

 


 

4) Usage Limits

4.1 Recommended Volume. Designed for up to10,000 POS transactions/month.

4.2 High‑Volume Stores. If you consistently exceed 10,000 POS transactions/month, we may discuss an enterprise plan; in extreme cases that materially burden our infrastructure, we may require migration to custom pricing or suspend service pending agreement.

4.3 Fair Use. You agree not to use the App in ways that create unreasonable load on our systems or attempt to bypass platform limits (including Shopify API rate limits).


 

5) Service Availability & Changes

5.1 Uptime. We strive for high availability but do not guarantee uninterrupted service. The App is provided“as is.”

5.2 Modifications. We may add/modify/suspend features or update these Terms; material pricing changes will be notified at least30 days in advance to existing subscribers. We may make changes required by Shopify platform policies or API/UI Extension updates.


 

6) Merchant Responsibilities (Critical)

6.1 Charitable, Fundraising & Co‑Venturer Compliance. You are solely responsible for ensuring that offering donations (including “round‑up at checkout”) complies with all laws and guidance applicable to you and the organizations you support, including charitable solicitation,commercial co‑venturer rules, paid solicitor/fundraising counsel rules, consumer‑protection/advertising disclosures, unclaimed property, AML/sanctions screening, and cross‑border restrictions. The Provider is not a charity, not a donor‑advised fund, not a payment processor, andnot your fundraiser or co‑venturer; we provide only software. You must have any required agreements and approvals in place with the beneficiary organization(s).

6.2 Flow of Funds & Remittance. Because donations are ordinary order line items,you collect all funds andyou must remit them to the designated organization(s) on your own schedule and terms.We do not remit funds for you.

6.3 Tax Acknowledgments & Receipts (No Tax Advice).

  • You are responsible for correctly characterizing donations (e.g., purchase round‑up, non‑deductible gift, or deductible charitable contribution) and for issuing any requiredacknowledgments/receipts to donors, maintaining records, and makingall tax filings.

  • We do not provide tax or legal advice; we do not generate IRS/CRA/other compliant receipts; and we make no representation that any donation is tax‑deductible.

  • If you are not a qualified charity in your jurisdiction, donations maynot be tax‑deductible to customers.

6.4 Product Configuration. You must configure and maintain the donation product, variants, sales‑channel availability (including POS), visibility, pricing/tax settings, and staff training. The App assists with creating a donation product and variants, but ongoing configuration remains your responsibility.

6.5 Platform Rules. You must ensure your configuration and donation messaging comply with Shopify’sAcceptable Use Policy andApp/Store policies (e.g., prohibited content/uses).Shopify

 


 

7) Prohibited Uses

You may not use the App to: (a) collect donations under false or misleading pretenses; (b) violate any law or third‑party right; (c) support sanctioned persons/entities or unlawful causes; (d) interfere with or reverse engineer the App; (e) exceed Shopify/platform limits or abuse APIs; or (f) otherwise violate Shopify’sAUP.

 


 

8) Data & Privacy

8.1 What We Access/Process. To operate the App, we access/process shop and catalog context (e.g., shop domain/id, settings; products/variants used for donations), minimal POScart context to calculate round‑up, and usage diagnostics. The POS modal obtains aShopify session token and requests the appropriate donation variant from your app backend; adding the donation line uses Shopify POS APIs. We do not collect cardholder data via the App. We do not store customer data.

8.2 Installed Scopes (current). The App requests these Shopify scopes:
read_locations, read_orders, unauthenticated_read_product_listings, write_products. We also subscribe to webhooks includingapp/uninstalled andapp/scopes_update.

8.3 Legal Basis & Roles. As between the parties,you are the datacontroller/business for personal data in your store; we act as aprocessor/service provider to provide the App. You must maintain a public‑facing privacy notice covering your use of the App.

8.4 Deletion & Uninstall. When you uninstall the App, Shopify sendsapp/uninstalled; 48 hours after uninstall, Shopify issues ashop/redact webhook requiring app developers to erase store data they hold. We comply with these privacy‑law workflows and erase related personal data from our systems as required by Shopify’s privacy rules. 

8.5 Data Security. We use reasonable administrative, technical, and physical safeguards appropriate to the nature of the data and our role; no method is 100% secure.

8.6 Data Location & Sub‑processors. We may use reputable hosting and support providers to deliver the App. You authorize our use of such sub‑processors consistent with these Terms.

 


 

9) Intellectual Property

The App (including UI, code, and documentation) is owned byCo Curator LLC. You receive a limited, revocable, non‑exclusive, non‑transferable license to use the App within your Shopify store(s) in accordance with these Terms. All rights not expressly granted are reserved.

 


 

10) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED“AS IS” AND“AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING/USAGE. We do not warrant uninterrupted or error‑free operation, or compatibility with every device, theme, or POS configuration. We do not warrant any outcome related to charitable compliance, tax treatment, deductibility, or remittance.

 


 

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE FEES YOU PAID FOR THE APP IN THE12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WITHOUT LIMITING THE FOREGOING, WE ARENOT RESPONSIBLE FORcharitable compliance, tax reporting or acknowledgments, donor communications, or fund disbursement.

 


 

12) Indemnification

You agree to defend, indemnify, and hold harmless Provider and our affiliates, officers, directors, employees, and agents from any claims, damages, costs, and attorneys’ fees arising out of: (a) your use of the App; (b) your violation of these Terms or any law; (c) your donation messaging, fundraising activity, or remittance practices; and (d) disputes with customers or beneficiary organizations.

 


 

13) Term; Suspension; Termination

 By You. Uninstall the App at any time.Shopify Help Center
By Us. We may suspend or terminate access immediately if you breach these Terms, misuse the App or Shopify platform, fail to pay, or where required by law or platform rules.
Effect. Access ceases upon termination. Donation product/variants we created in your store remain in Shopify but will no longer function through the App. No refunds for partial billing periods.

 


 

14) Beta/Testing Acknowledgment

You understand the App is in active development; features may change, be added, or removed; performance may vary; and pricing may be adjusted as we optimize the service. We may contact you for feedback to improve the App.

 


 

15) Support

We provide email support at[your support email] and aim to respond within2 business days. We do not provide legal, tax, or accounting advice.

 


 

16) Changes to Terms & Pricing

We may modify these Terms or pricing. For material changes, we’ll provide reasonable notice (e.g., via email, in‑app notice, or Shopify App Store listing). Continued use after the effective date constitutes acceptance.

 


 

17) Export; Sanctions; AUP

You will not use the App in violation of export controls, economic sanctions, or Shopify’sAcceptable Use Policy (including prohibitions on unlawful or hateful content and restricted industries). 

 


 

18) Governing Law; Venue

These Terms are governed by the laws ofCalifornia, USA, without regard to conflicts of law. Courts located inSan Francisco, California, USA will have exclusive jurisdiction. (If you prefer arbitration/class‑action waiver, replace this section with your standard dispute resolution clause.)

 


 

19) Entire Agreement; Order of Precedence; Severability

These Terms are the entire agreement between you and us concerning the App and supersede prior or contemporaneous agreements about the App. If any term is unenforceable, the remainder stays in effect.
